Terms and conditions governing the use of our services

Agreement to Terms

By accessing and using the services provided by MitraMoney Capital ("we", "us", "our"), you ("user", "client", "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and MitraMoney Capital.

Services Overview

MitraMoney Capital provides the following wealth management services:

  • Portfolio Management Services (PMS): Discretionary and non-discretionary portfolio management
  • Mutual Funds: Distribution and advisory services for mutual fund investments
  • Corporate Bonds: Access to fixed-income securities and debt instruments
  • Alternative Investment Funds (AIF): Category I, II, and III AIF investments
  • Insurance: Life, health, and general insurance distribution
  • Financial Planning: Goal-based planning, tax planning, and wealth advisory

Eligibility and Account Registration

Eligibility Criteria

  • You must be at least 18 years of age
  • You must be a resident of India or comply with applicable laws if residing abroad
  • You must have the legal capacity to enter into binding contracts
  • You must meet minimum investment thresholds as specified for each service
  • You must complete KYC (Know Your Customer) requirements as mandated by regulations

Account Responsibilities

  • Provide accurate, complete, and current information during registration
  • Maintain the confidentiality of your account credentials
  • Promptly update your information when changes occur
  • Not share your account access with unauthorized persons
  • Immediately notify us of any unauthorized use or security breach

Investment Services Terms

Portfolio Management Services

  • Minimum investment: ₹50 lakhs (subject to change)
  • Management fees: As per executed PMS agreement
  • Lock-in period and exit terms as specified in the agreement
  • Performance fees may apply based on returns achieved
  • Discretionary authority granted as per mandate

Mutual Funds

  • Investments are made directly with Asset Management Companies (AMCs)
  • We act as distributors and may receive commissions from AMCs
  • NAV-based transactions as per fund house cut-off times
  • Exit loads and lock-in periods as per scheme information documents
  • Taxation as per applicable income tax laws

Corporate Bonds

  • Minimum investment per bond as specified by the issuer
  • Interest payments as per bond terms (annual, semi-annual, or cumulative)
  • Credit risk associated with issuer's financial health
  • Liquidity may be limited in secondary markets
  • Taxation of interest income as per prevailing tax laws

Fees and Charges

Our fee structure varies by service and is disclosed upfront:

  • Management Fees: Annual percentage of assets under management
  • Performance Fees: Percentage of profits above benchmark (if applicable)
  • Transaction Charges: Brokerage, stamp duty, GST, and other statutory charges
  • Advisory Fees: Fixed or percentage-based fees for financial planning
  • Distribution Commissions: Received from product manufacturers (disclosed)

All fees are exclusive of applicable taxes unless otherwise stated. Fee schedules are provided in individual service agreements and may be revised with prior notice.

Risk Disclosure

You acknowledge and accept that:

  • All investments carry market risk and values can fluctuate
  • You may lose part or all of your invested capital
  • Returns are not guaranteed and may be negative
  • Past performance is not indicative of future results
  • Different products have different risk profiles
  • You are responsible for understanding the risks before investing
  • We provide risk disclosures but cannot eliminate investment risks

Client Obligations

As a client, you agree to:

  • Accuracy: Provide truthful and accurate information at all times
  • Documentation: Submit required KYC documents and complete compliance procedures
  • Financial Capability: Invest only funds you can afford to risk
  • Due Diligence: Read and understand all scheme documents and risk disclosures
  • Tax Compliance: Report income and pay taxes as per applicable laws
  • Communication: Respond promptly to our requests for information or clarification
  • Regulatory Compliance: Comply with all applicable securities laws and regulations

Prohibited Activities

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Engage in market manipulation, insider trading, or fraudulent activities
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to our systems or data
  • Use automated scripts, bots, or data scraping tools on our platform
  • Reverse engineer, decompile, or disassemble our software
  • Impersonate another person or entity
  • Upload malware, viruses, or harmful code

Violation of these terms may result in immediate termination of services and legal action.

Intellectual Property

All content, trademarks, logos, software, and materials on our platform are owned by MitraMoney Capital or our licensors. You may not copy, reproduce, distribute, modify, or create derivative works without our explicit written permission. You are granted a limited, non-exclusive, non-transferable license to access and use our services for personal, non-commercial purposes only.

Termination

Either party may terminate the relationship subject to the following:

  • Client-Initiated: You may close your account by providing written notice as per agreement terms
  • Company-Initiated: We may suspend or terminate services for violation of terms, non-payment, or at our discretion with notice
  • Settlement: Upon termination, all outstanding fees must be paid and positions liquidated or transferred
  • Data Retention: We may retain certain information as required by law after termination

Limitation of Liability

To the maximum extent permitted by law, MitraMoney Capital shall not be liable for:

  • Investment losses or failure to achieve expected returns
  • Market volatility or adverse market movements
  • Actions or defaults by third parties (AMCs, fund houses, depositories, etc.)
  • Technical failures, interruptions, or cybersecurity incidents
  • Indirect, consequential, or punitive damages

Our aggregate liability is limited to the fees paid by you in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless MitraMoney Capital, its directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your violation of these terms, misuse of services, or breach of applicable laws.

Dispute Resolution

In case of disputes:

  • Grievance Redressal: First contact our grievance officer at [email protected]
  • Mediation: Attempt amicable resolution through mediation
  • Arbitration: Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Jurisdiction: Courts in Hyderabad, Telangana shall have exclusive jurisdiction
  • Governing Law: These terms are governed by the laws of India

Regulatory Compliance

MitraMoney Capital operates under the regulatory framework of:

  • Securities and Exchange Board of India (SEBI)
  • Association of Mutual Funds in India (AMFI)
  • Insurance Regulatory and Development Authority of India (IRDAI)
  • Prevention of Money Laundering Act (PMLA)

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or prominent website notice at least 30 days before taking effect. Your continued use of our services after modifications constitutes acceptance of the updated terms.
